Quadkey User Agreement:
Quadkey Corporation ("Quadkey") provides web-based software for human resources management. By using any services provided by Quadkey you agree to be bound by the terms in this agreement.
References to "You" in this agreement include You, Your Company, Your employees, and any other person or entity You allow to use Your account with Quadkey.
You certify that you are at least 18 years of age. Additionally, you certify your age legally qualifies you as an adult in your locality.
You agree to use services provided by Quadkey for the sole intended purpose of managing your company's human resources. You may not use Quadkey's software if you are a business competing with Quadkey Corporation, if you are attempting learn the software's internals, or if you are trying to gain competitive knowledge of any kind through the use of any software provide by Quadkey.
You acknowledge that Quadkey provides all software "AS IS", without any warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, title and non-infringement. In no event shall the copyright holders or anyone distributing the software be liable for any damages or other liability, whether in contract, tort or otherwise, arising from, out of or in connection with the software or the use or other dealings in the software.
You agree to defend, indemnify, and hold Quadkey and its suppliers against any and all claims, losses, liability costs, and expenses (including but not limited to attorney fees) arising from violation of this User Agreement or any third-party's rights. These obligations will survive any termination of Your relationship with Quadkey or use of Quadkey's services.
You agree all software and web sites provided by Quadkey are the intellectual property of Quadkey Corporation and that Quadkey Corporation is the sole owner of this property. In no event shall You attempt to copy, modify, rent, display, or unbundle any property of Quadkey Corporation.
You agree not to reverse engineer, decompile, or disassemble any software made by Quadkey. Additionally, you agree not to attempt to learn the source code of any software made by Quadkey Corporation.
The software provided by Quadkey Corporation is to only be used by You and may not be shared in any way with any third party.
Payments made for the use of Quadkey's software are non-refundable and Quadkey will not offer refunds for downgrades.
Quadkey Corporation reserves the right to terminate Your account at any time, for any reason, and without any advance notice. In such an event, You will not be eligible for a refund for billing periods preceding the termination.
You acknowledge Quadkey is not responsible for censoring or screening any customer content.
If You are signed up for a non-free account, You agree to pay any fees associated with Quadkey's services in a timely manner. You agree to be solely responsible for all fees associated with Quadkey's services including any charges, taxes, duties, and assessments. Quadkey reserves the right to announce changes in pricing provided they do not take effect until Your next billing cycle.
You allow Quadkey to reference our relationship via a listing of Quadkey customers.
Additionally, Quadkey may request your permission to display your logo or trademark on web sites related to Quadkey's services and/or other marketing materials.
Quadkey Corporation reserves the right to update this agreement from time to time. Any such changes will be conveyed to You via the quadkey.com web site.
